Terms of service
The usual framework for our engagements: what we commit to, what is expected from you, how payment works and how either side stops.
This page describes the usual framework for ScholaO engagements. It is information, not a contract: for each engagement, the accepted quote and the signed service contract prevail. Where this page and a signed document differ, the signed document wins.
What these terms cover
ScholaO offers three different things, and they do not fall under the same framework.
- The Digital Foundation Sprint and its support inside Open Claw Genesis. The Sprint starts through the Skool membership, with no quote or prior contract on ScholaO; these terms describe the general community framework. The Managed Operations module and genuinely bespoke work may require a separate quote and contract.
- ScholaO Labs products, sold online. The sale is concluded on Gumroad, under Gumroad’s terms: payment, delivery and refunds are handled there, not here.
- Free guides. No payment, no commitment; a confirmed email address is enough, and unsubscribing takes effect immediately.
The quote, then the contract
For the community Sprint, the free review sends you to the Open Claw Genesis About page. The price, any trial, access and billing terms are presented by Skool when you join. No price is displayed on the ScholaO website. Separate bespoke services may be subject to a separate quote.
After joining, the member provides company information inside the private community. ScholaO builds the website there and receives requests and revisions in the same place. Membership is monthly and cancellable at any time from Skool.
The review that precedes community access is free and takes twenty minutes — request a review.
What ScholaO commits to
- Build the website and handle requests within the presented scope, targeting delivery within 14 days when the necessary information is available.
- Keep a single point of contact and flag any deadline or risk as soon as it is identified.
- Respect the confidentiality of the information exchanged.
- Provide the post-delivery follow-up set out in the contract, where applicable.
ScholaO may pass part of the work to qualified subcontractors, bound by the same confidentiality and quality obligations. The work stays led by people: tooling speeds it up, it does not decide for you.
What is expected from you
- Provide the documents, access and information needed to start and deliver the Sprint inside the community.
- Appoint someone who can answer and decide.
- Approve or reject the deliverables produced, so the work can move on.
- Keep to the agreed payment terms.
No installation and no technical skill are required. What is yours to do is decide: we prepare, you choose.
Rates and payment
The ScholaO website displays no price for the Sprint or community support. The membership price and terms are displayed on the official Open Claw Genesis About page, operated through Skool. Prices for separate products may appear on their dedicated pages or at their seller.
Open Claw Genesis membership is billed monthly under the terms displayed by Skool and can be cancelled at any time from the member account. Payments, refunds and platform terms are governed by the Skool page and its payment providers. Separate services follow their quote or contract.
- For community membership, payment methods and payment processing are those offered by Skool and its providers when joining. Payment methods for separate services are specified in their quote or contract.
- VAT regime and tax wording: to be confirmed according to the applicable regime. No tax is calculated until that point is settled with an accountant.

What the price covers, and what it does not
The community Sprint covers the foundation presented in the journey. Domain name, hosting, email and other subscriptions remain in your company’s name and are paid separately, by you — including if you leave after delivery.
The following work may require additional scoping inside the community or a separate service:
- full brand identity or a new logo,
- bilingual website,
- online shop,
- advanced blog,
- large-scale content production,
- paid advertising,
- complex CRM automation.
Duration, renewal and termination
The Sprint targets delivery within 14 days when the necessary information is provided on time. After delivery, the member may leave. If they stay, community membership continues month by month and can be cancelled at any time from Skool.
Community membership termination follows Skool’s terms. The consequences of cancellation, including access until the end of the billed period, are those displayed by the platform when joining.
Guarantees
If the agreed work is not delivered at the level defined together, ScholaO fixes it or refunds the advance. The guarantee covers what is delivered — documents, files, pages, the cockpit kept up to date — and the gap between the starting point and the end state.
It does not cover your commercial results. ScholaO guarantees no sales, no funding, no search engine ranking, no citation by an artificial intelligence and no tender award: no provider can commit to what depends on third parties.
Confidentiality and data
Both parties respect the confidentiality of the information exchanged. The access granted to ScholaO is limited to what the engagement needs. Your data is never sold, nor used for anything other than the agreed work.

Ownership of deliverables
Deliverables become your property once the sums due for the period concerned are paid in full. Before payment, ScholaO retains the rights.
ScholaO’s methods, tools, templates and know-how remain its own: they are used to produce the deliverable, they are not transferred with it. ScholaO may cite the engagement as a commercial reference, unless you object in writing.
Force majeure and liability
Neither party is liable for a failure caused by force majeure — including a major outage beyond its control or the unavailability of a third-party service used for the work.
ScholaO’s liability is limited to direct damage caused by proven fault. Indirect losses, loss of profit and consequential damage are excluded. The signed contract sets a liability ceiling where applicable.
Governing law and disputes
Engagements are governed by Gabonese law and the OHADA framework. Any dispute falls to the courts of ScholaO’s registered office, in Libreville. Before it gets that far, write to us: most disagreements are settled by going through the quote line by line.
